Blu Commerce Terms and Conditions

Welcome, and thank you for your interest in Blu Commerce (“Blu Commerce,” “we,” or “us”) and our website, online portal, members area, coaching programs, community, events, and any related applications or services we make available (collectively, the “Services”).

These Terms and Conditions (“Terms”) are a legally binding agreement between you and Blu Commerce governing your access to and use of the Services.

PLEASE READ THESE TERMS CAREFULLY.

BY CLICKING “I ACCEPT,” PURCHASING, ENROLLING, CREATING AN ACCOUNT, OR OTHERWISE ACCESSING OR USING THE SERVICES, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND ACCEPT THESE TERMS, INCLUDING OUR PRIVACY POLICY, WHICH IS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE, YOU DO NOT HAVE PERMISSION TO USE THE SERVICES.

If you are accessing the Services on behalf of an entity, organization, or company, you represent that you have authority to bind that entity to these Terms, and “you” refers to both you and that entity.


1) Eligibility

You must be at least 18 years old to access or purchase the Services, or have the consent of a parent or legal guardian where permitted by law. By using the Services, you represent and warrant that:

you meet the eligibility requirements;

you have not been previously suspended or removed from the Services; and

your access and use complies with all applicable laws and regulations.


2) Accounts and Registration

To access parts of the Services (including member resources, community, or paid training), you may need to register for an account.

You agree to provide accurate, complete, and current information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3) License and Acceptable Use

3.1 Limited License

Subject to your compliance with these Terms, Blu Commerce grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial use, unless otherwise explicitly agreed in writing.

3.2 License Restrictions

Except where prohibited by applicable law, you may not:

copy, reproduce, distribute, publicly display, publicly perform, or create derivative works from the Services or materials;

reverse engineer, decompile, or attempt to extract source code or underlying ideas from the platform or content;

circumvent access controls, security features, or account limitations;

scrape, crawl, or use automated systems to access the Services without our written permission; or

use the Services for any unlawful purpose.

3.3 Feedback

If you submit suggestions, feedback, or ideas (“Feedback”), you grant Blu Commerce a perpetual, irrevocable, worldwide, royalty-free right to use the Feedback for any purpose, including improving the Services, without compensation or attribution.


4) Ownership and Intellectual Property

All content, training materials, frameworks, templates, videos, recordings, worksheets, designs, logos, trademarks, software, and other materials made available through the Services (“Materials”) are owned by Blu Commerce or its licensors and are protected by intellectual property laws.

You may not copy, share, resell, redistribute, publish, or otherwise exploit any Materials unless explicitly authorized by Blu Commerce in writing.


5) Third-Party Services

The Services may integrate with or link to third-party platforms and tools (e.g., community platforms, payment processors, analytics tools, video hosts, email/SMS providers) (“Third-Party Services”).

Your use of Third-Party Services is subject to their terms and policies. We are not responsible for Third-Party Services, including their availability, security, or how they handle data.


6) User Content and Community Conduct

6.1 User Content

Certain parts of the Services may allow you to upload, post, or transmit content (e.g., messages, comments, images, videos, files, or other content) (“User Content”). You retain ownership of your User Content, subject to the license below.

6.2 License to Blu Commerce

By posting User Content, you grant Blu Commerce a worldwide, non-exclusive, royalty-free, fully paid license to host, store, display, reproduce, and distribute your User Content as necessary to operate, provide, and improve the Services (including community functionality and moderation).

6.3 You Must Have Rights to Post

You represent and warrant that:

you own or have rights to the User Content you post;

your User Content does not infringe any third-party rights or violate any law; and

your User Content is not unlawful, abusive, harassing, hateful, threatening, sexually exploitative, or otherwise inappropriate.

6.4 Moderation

We may (but are not obligated to) monitor, remove, or restrict User Content or accounts that violate these Terms, at our sole discretion, without notice.


7) Prohibited Conduct

By using the Services, you agree not to:

use the Services for illegal purposes;

harass, threaten, demean, or harm others;

post or share content that is defamatory, fraudulent, obscene, sexually exploitative, or hateful;

impersonate others or misrepresent your identity;

attempt unauthorized access to accounts or systems;

transmit malware or disrupt the Services;

collect personal data from other users without consent;

resell, share, or transfer access to paid content, logins, or community memberships; or

encourage others to violate these Terms.


8) Purchases, Billing, and Renewals

8.1 Payments

If you purchase a product, membership, coaching program, or subscription, you agree to pay all fees displayed at checkout, including applicable taxes, and you authorize us (and/or our payment processors) to charge your selected payment method.

8.2 Subscriptions and Auto-Renewal (If Applicable)

If your purchase includes a subscription, it may renew automatically unless canceled before the renewal date. Subscription terms, billing cadence, and cancellation instructions will be displayed at checkout.

8.3 Refunds

Unless otherwise stated at checkout or in writing, all sales are final and no refunds are provided. If Blu Commerce offers a refund policy for a specific program, it will be described explicitly at checkout and will apply only to that offer.

9) Education Disclaimer (No Earnings Guarantees)

Blu Commerce provides education, training, and coaching related to e-commerce (including product selection, store setup, marketing, and scaling strategies).

You understand and agree:

we do not guarantee sales, profit, or earnings;

results vary based on many factors including experience, effort, budget, market conditions, and execution; and

any examples, testimonials, or case studies are illustrative only and not a promise of results.

You are responsible for your business decisions and outcomes.


10) Recording and Calls (If Applicable)

Coaching calls, group calls, or trainings may be recorded. By participating, you consent to being recorded and to our use of recordings for internal training, quality, and program delivery purposes.

If we intend to use recordings for marketing (e.g., publishing clips), we will seek consent where required.


11) Term, Termination, and Access

These Terms remain in effect until terminated.

We may suspend or terminate your account or access to the Services at any time if we believe you violated these Terms or if your behavior creates risk for the Services or other users.

Upon termination:

your license to use the Services ends immediately;

you must stop using the Services; and

you may lose access to content, community, and Materials.

Sections intended to survive termination (including IP, disclaimers, limitation of liability, dispute terms) will survive.


12) Indemnity

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Blu Commerce and its affiliates, officers, employees, contractors, and partners from claims, damages, liabilities, losses, and expenses (including legal fees) arising from:

your use or misuse of the Services;

your violation of these Terms;

your User Content; or

your violation of any third-party rights or applicable law.


13) Disclaimers (No Warranties)

THE SERVICES AND ALL MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free.


14) Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BLU COMMERCE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID TO BLU COMMERCE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
(B) USD $100 (OR THE LOCAL EQUIVALENT).


15) Dispute Resolution and Governing Law

15.1 Informal Resolution

Before filing a claim, you agree to contact us first to attempt to resolve disputes informally at: [email protected].

15.2 Governing Law / Venue

These Terms are governed by the laws of Norway, without regard to conflict of law principles.
Unless otherwise required by mandatory consumer protection laws, you agree that disputes will be brought in the courts located in Oslo, Norway.

(If you prefer a different jurisdiction, tell me and I’ll change it.)

15.3 Arbitration (Optional)

Arbitration is often US-specific. Since you’re Norwegian, I did not force JAMS arbitration in this draft. If your business is US-registered and you want arbitration language, I can add an arbitration section similar to the Freedom Club one.


16) Changes to These Terms

We may update these Terms from time to time. Changes will be posted with an updated “Last Updated” date. Continued use of the Services after changes become effective constitutes acceptance.


17) Electronic Communications

By using the Services, you consent to receive electronic communications from us related to your account, purchases, program access, and administrative updates. Marketing communications are optional and can be unsubscribed where provided.
